The Role
As a Legal Counsel, based in our offices in Jeddah, you will provide legal expertise, working on contract drafting, corporate matters, intellectual property, and real estate.
What you'll be doing
Commercial Contracts:
- Draft, review and negotiate a wide range of commercial agreements, including but not limited to distribution agreements, service agreements, retailer agreements, confidentiality agreements, assets purchase agreements, supply agreements, E-commerce agreements, and lease agreements.
- Provide strategic legal advice to internal stakeholders on contract-related risks, obligations and compliance, including liability exposure, termination clauses and dispute resolution mechanisms.
- Ensure that all agreements are aligned with KSA regulatory requirements and laws, including Competition Law, E-Commerce Law and PDPL.
Corporate Governance:
- Assist with entity formation under MISA, MOCI, and other relevant authorities.
- Draft and update Articles of Association/Bylaws, Shareholders and Board Resolutions.
- Ensure proper documentation and submission of changes to company structure (e.g., share transfers, capital increases) and to company management (e.g., GM change, board members replacement).
- Support corporate restructuring, including mergers, acquisitions, and dissolutions in line with KSA’s Companies Law.
- Support in implementing corporate governance best practices in line with local laws.
- Draft, review and finalize Powers of Attorney (general and specific) to support business needs, and coordinate with notaries to ensure proper execution and registration.
Regulatory & Compliance Support:
- Advise on KSA legal and regulatory developments impacting the business.
- Ensure compliance with relevant authorities such as MISA, MOC and other governmental bodies.
- Collaborate with internal teams to manage licensing, permits and other regulatory filings as and when needed.
- Collaborate with internal teams to develop and implement policies that align with KSA’s anti-bribery, AML, and anti-corruption frameworks.
General Legal Support:
- Provide day-to-day legal advice to internal teams on operational and commercial matters.
- Assist in dispute resolution, including liaising with external counsel when required.
- Conduct legal research to support decision-making processes.
- Proactively identify potential legal risks and recommend risk mitigation strategies.
What you’ll need to succeed
- You possess at least 2 to 4 years of legal drafting experience in a fast paced environment.
- You have experience in commercial legal drafting.
- You possess a Bachelor's or Master's Degree in Law.
- You are a fluent Arabic and English speaker.
- You have a thirst for knowledge, are proactive, and have the ability to self manage.
- You possess strong communication skills.
