What you'll be doing
As a Legal Counsel, you will draft, review, and negotiate procurement and commercial contracts in the UAE, ensuring compliance with UAE laws and regulations while enabling efficient sourcing and supplier relationships.
Your responsibilities will include the below:
Commercial & Procurement Contracts:
Draft, review, and negotiate procurement- and operations-related agreements, including:
Supplier and vendor agreements
Supply and distribution agreements
Service and outsourcing contracts
Framework agreements, MSAs, SLAs, NDAs, and amendments
E-commerce and logistics-related contracts
Ensure contracts accurately reflect operational requirements, pricing structures, service levels, delivery timelines, and performance obligations.
Partner closely with Procurement, Operations, Supply Chain, and Finance teams to support sourcing initiatives, tenders, and vendor onboarding.
Provide practical legal advice on contractual risk allocation, including liability, indemnities, penalties, termination rights, and dispute resolution.
Support negotiations with local and international suppliers to enable timely and compliant procurement decisions.
Regulatory & Compliance (Operations-Focused)
Ensure procurement and operational contracts comply with UAE laws and regulations, including Competition Law, E-Commerce Law, and PDPL.
Advise on regulatory developments impacting suppliers, logistics, distribution, and operational activities.
Contract Governance & Risk Management
Identify, assess, and mitigate legal and commercial risks arising from procurement and operational contracts.
Support the development and maintenance of standard procurement templates, clause libraries, and negotiation playbooks.
Contribute to improving contract lifecycle management, efficiency, and consistency across operations.
Proactively flag legal risks that could impact cost, continuity of supply, or operational performance.
General Legal & Operational Support
Provide day-to-day legal support on operational and commercial matters.
Conduct legal research related to procurement, operations, and commercial law to support decision-making.
Act as a business-oriented legal partner, balancing risk management with operational speed and scalability.
What you’ll need to succeed
You possess at least 2 to 4 years of commercial legal drafting experience in a fast-paced environment.
You possess a Bachelor's or Master's Degree in Law.
You are familiar with commercial contracts such as confidentiality agreements and service agreements.
You have strong commercial negotiation skills.
You are highly organized and possess excellent attention to detail.
You are collaborative, eager to learn, and proactive.
You are able to handle pressure, urgency, and multiple requests simultaneously.
You are curious and willing to support the wider team within your vertical when needed.
You are fluent in English. Arabic is a plus.
